Robert W. Barron is a commercial real estate attorney with significant corporate transaction experience, a shareholder of Berger Singerman and a member of the Transaction Team. Robert has over 19 years legal experience providing legal counsel to his clients by providing advice and counsel, negotiating complex business transactions and obtaining successful business outcomes for his clients.
During the current market downturn in the real estate industry in Florida, Robert is working with clients, both borrowers and lenders, in attempting to work out or restructure distressed loans with an aggregate outstanding balance in excess of a billon dollars.
Robert has significant experience in the commercial real estate industry, with specific experience with: (i) the acquisition and disposition of office, industrial, and multi-family properties, (ii) the acquisition and disposition of luxury and near-luxury hotel properties and the negotiation of hotel management contracts related thereto, (iii) the representation of lenders and borrower in commercial real estate loan transactions and workouts (including defeasance opportunities), (iv) the representation of owners and developers in connection with construction projects and related architect agreements and (v) the negotiation of investment partnership agreements and LLC operating agreements.
Robert also has significant corporate transactions experience, including, (i) the acquisition and disposition of corporate businesses, whether via a stock or asset transaction, (ii) venture capital investment and investment partnership transactions, (iii) formation and capitalization of start-up companies, including follow-up investment transactions, and (iv) asset -based corporate financing for corporate businesses
Robert's clients include lending institutions, hotel owners and investors, commercial real estate investors and business owners and investors. Robert also has extensive experience in the areas of project and asset-based commercial credit facilities, commercial real property leasing, executive employment arrangements and non-competition agreements, issuing Florida legal opinions in connection with complex commercial loan transactions, venture capital investments and ¡°out of court¡± bankruptcy/insolvency-related business transactions.
