Piper Alderman has successfully acted for PharmaLex Pty Ltd, on its merger with Cpharm Pty Ltd, a specialist consultancy providing pharmacovigilance, medical information and patient program services in Australia and New Zealand.
During this transaction, the global PharmaLex Group merged with AmerisourceBergen Corporation (see further details here).
The inclusion of Cpharm in the PharmaLex / AmerisourceBergen Group will expand PharmaLex’s service offering to the life sciences sector, growing its speciality services both in Australia and globally.

The deal team led by partner Lis Boyce and supported by senior associate, Bahar Agar and lawyers, Francesca Lombardo and Samiha Asim, assisted PharmaLex with undertaking legal due diligence of Cpharm’s business operations and prepared the transaction documents for the acquisition of shares in Cpharm.

Piper Alderman’s employment team led by Tim Capelin with support from associate, Emily Setter, was involved in preparing employment agreements for key employees of the Cpharm business.
Property partner, Marcus Andrews supported the deal with new lease documentation.
