James has experience in a variety of areas of corporate and commercial law (both advisory and transactional), including corporate advisory and corporate governance (for both ASX listed and unlisted clients); mergers, acquisitions and disposals; not-for-profit advisory, set-up and restructuring; foreign investment review board applications; public and private capital raisings; and stamp duty. James’s corporate governance experience also includes a number of matters relating to shareholder activism, including assisting shareholders and members to requisition meetings of listed, unlisted, and not for profit bodies, and advising with respect to meeting practice and procedure.
James also advises clients with respect to their obligations under financial services laws including providing financial services advice, dealing in a wide range of financial products (including interests in securities, managed investment schemes, and limited partnerships established in Australia and overseas), and has advised with respect to the establishment and operation of a number of wholesale managed investment schemes investing in agricultural and infrastructure sectors.
James also has experience in cross-border transactions and capital raisings involving a number of jurisdictions including the United Kingdom, the United States of America, the United Mexican States, the Republic of Ecuador, Canada, Israel, and New Zealand, as well as having experience in a range of commercial disputes related work, including advising and acting for clients in disputes in the following forums:
