Corporate Law / M&A
Corporate transactional work is the firm's primary activity. They advise buyers, sellers, investors, and targets throughout the entire M&A process by drafting and negotiating transactional documents, conducting due diligence, and completing the required filings with regulators and authorities. Their team members have recently been involved in major M&A transactions in the banking, manufacturing, healthcare, and new technology sectors. The firm is primarily engaged in four types of M&A transactions: implementation of joint ventures, private equity transactions, sales and purchases of shares (share deals), and sales and purchases of assets (asset deals).
Financing
The firm advises clients on a wide range of financing transactions, representing mainly borrowers and lenders. They assists in negotiating and implementing traditional commercial credit arrangements (bilateral or syndicated, secured or unsecured), as well as in acquisition financing, project financing, and asset financing.
Real Estate and Tourism Law
The firm advises major national and international clients, including project owners, developers, landlords, and tenants, on complex construction, renovation, and leasing operations of large real estate properties (shopping centers, hotels, logistics warehouses, clinics, office and/or residential buildings). Their expertise in hotel real estate includes acquisition or disposal of hotel assets, hotel management contracts, and the development of "mixed-use" or "built-to-suit" real estate projects.
Regulatory / Competition Law
The firm advises clients on the regulations of industries such as health, pharmacy, and natural resources. They also assists and represents clients through the merger notification process before the Moroccan Conseil de la Concurrence.
